Our services are provided to business clients ("Clients") under individual service agreements. The specific scope, deliverables, and terms of each engagement are defined in the applicable service agreement or statement of work.

3. Acceptable Use

You agree to use our website and services only for lawful purposes and in accordance with these Terms. You shall not: (a) use our services for any illegal or unauthorized purpose; (b) attempt to gain unauthorized access to our systems or networks; (c) interfere with or disrupt the integrity or performance of our website or services; (d) transmit any malware, viruses, or other harmful code; (e) use any tools or integrations developed by MDA in violation of the applicable third-party platform terms of service (including TikTok, Meta, and Google platform policies); (f) reverse-engineer, decompile, or disassemble any software provided by MDA, except where permitted by applicable law.

All content on this website — including text, graphics, logos, and software — is the property of MDA or its licensors and is protected by applicable intellectual property laws. Unless otherwise agreed in writing, MDA retains all intellectual property rights in any tools, code, methodologies, and frameworks developed during the provision of services. Ownership of custom deliverables created specifically for a Client is governed by the applicable service agreement. You may not reproduce, distribute, or create derivative works from our website content without prior written consent.

5. Limitation of Liability

To the maximum extent permitted by applicable law: (a) MDA provides its website and services "as is" and "as available", without warranties of any kind, express or implied; (b) MDA shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our website or services; (c) MDA's total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by the Client under the applicable service agreement in the 12 months preceding the claim; (d) MDA is not liable for any issues arising from third-party API changes, outages, or policy modifications by platforms such as TikTok, Meta, or Google. Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded by law.

6. Termination

We reserve the right to suspend or terminate access to our website or services at any time if you breach these Terms. For contracted services, termination terms are governed by the applicable service agreement. Upon termination, any rights granted to you under these Terms will immediately cease.

7. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Milan, Italy, without prejudice to any mandatory consumer protection provisions that may apply.
